Clinic Subscription Terms
These terms apply to a medical practice ("Clinic") that registers for ReadySeen for Clinics, in addition to the Terms of Use. They are a working draft in fourteen sections for review by licensed counsel and are not yet in force; paid subscriptions open once counsel has approved them and the business associate agreement. ReadySeen is operated by LIKE A KING INC., One World Trade Center, Suite 8500, New York, NY 10007, United States.
01 — The service
ReadySeen for Clinics lets patients send an end-to-end encrypted Visit Brief to the Clinic before or at a visit, through the Clinic's intake link and QR code. Clinic staff open briefs in the ReadySeen dashboard after unlocking the Clinic's vault. ReadySeen does not interpret images, diagnose, triage, schedule or provide care, and it is not an electronic health record.
02 — Who may register
The person registering must be authorised to bind the Clinic and confirms so when registering. The Clinic must hold an active National Provider Identifier, and the responsible clinician must hold an active, unrestricted state licence.
03 — Verification and re-verification
Before the Clinic can receive briefs we check its NPI in the NPPES registry, check the HHS-OIG exclusion list and (when enabled) SAM.gov exclusions, review Medicare enrolment where it exists, and confirm the licence on the state board's site. We repeat the automated checks at least monthly. We may refuse, pause or end verification if a check fails, information is inaccurate, or the Clinic or a responsible clinician is excluded, debarred or loses a licence; we will tell the Clinic why unless the law prevents it. Verification is not an endorsement.
04 — Accounts and security
Every team member has their own account; sharing logins is not allowed. Two-factor sign-in is required. The Clinic chooses its roles (owner, admin, staff), removes people promptly when they leave, and keeps its vault passphrase confidential and shared only with staff who need it. We cannot recover a lost vault passphrase or read briefs without it. If it is reset, briefs sent before the reset cannot be opened.
05 — Fees
The subscription is a flat fee per practice location (currently US $149 a month per location), billed in advance through Stripe and renewing monthly until cancelled. Fees never depend on the number of patients, briefs, referrals, bookings or the value of any service, and ReadySeen never directs patients to a particular Clinic. Pilot clinics may receive a free trial period we agree in writing. Cancel any time from the Billing page; the subscription ends at the end of the paid month.
06 — Late payment
If a payment fails, the Clinic keeps full access for a 7-day grace period. After that, the intake link pauses and the inbox becomes read-only until payment is made. Briefs still expire on their normal schedule.
07 — HIPAA and the business associate agreement
For briefs sent to the Clinic, ReadySeen acts as the Clinic's business associate. Before the first brief is received, the parties sign ReadySeen's business associate agreement, which governs those briefs and prevails over these terms on HIPAA matters. ReadySeen holds briefs only as ciphertext it cannot read and erases them when they expire.
08 — Clinic responsibilities
The Clinic is responsible for its clinical decisions, for how it uses and records information from briefs, for its own compliance with HIPAA and state law, and for telling patients how it handles information it copies into its own records. The Clinic will not use ReadySeen to market to patients or to obtain information a patient has not chosen to send.
09 — Acceptable use
The Clinic will not misrepresent its identity or credentials, attempt to read briefs addressed to another clinic, probe or overload the Service, or resell access.
10 — Data, export and deletion
The Clinic may download its audit log at any time. When the subscription ends, we keep the Clinic's account and logs for 90 days in case it returns, then delete them, except records the law requires us to keep. Brief ciphertext is never kept past its expiry.
11 — Warranties and disclaimers
Each party will comply with applicable law. Except as stated in these terms and the business associate agreement, the Service is provided "as is", to the fullest extent permitted by law.
12 — Liability
Neither party is liable for indirect or consequential damages or lost profits. Each party's total liability is limited to the fees paid by the Clinic in the 12 months before the claim, except for breach of confidentiality, the business associate agreement, or indemnity obligations, or where the law does not allow a limit.
13 — Term and ending
The subscription continues month to month. Either party may end it with notice; we may end it immediately for a failed verification, non-payment beyond the grace period, or a material breach.
14 — Review status and contact
Still open before these terms take effect: counsel's review of these terms, the business associate agreement and the anti-kickback analysis of the flat-fee structure; and insurance. Contact: the contact form, or LIKE A KING INC., One World Trade Center, Suite 8500, New York, NY 10007, United States.
