Terms of Use
These are the working Terms of Use for ReadySeen, the website and web app at readyseen.com (the "Service"). They are written in eighteen sections for review by licensed counsel and are not yet in force. ReadySeen is operated by LIKE A KING INC. ("ReadySeen", "we", "us"). Business correspondence: One World Trade Center, Suite 8500, New York, NY 10007, United States. That is a mailing address; it does not state where the company is incorporated or imply any affiliation with the building. Clinics that subscribe also accept the separate Clinic Subscription Terms.
ReadySeen is not a medical service. It does not diagnose, treat or give medical advice, and it does not replace a clinician. If you think you may have a medical emergency, call 911 now.
01 — Acceptance
By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Consumer Health Data Privacy Policy. If you do not agree, do not use the Service. Section 16 contains an arbitration agreement and class-action waiver that affect your rights; you may opt out as described there. You can use the app without an account; these Terms still apply to that use.
02 — What ReadySeen does, and what it doesn't
ReadySeen helps you prepare for a visit: you photograph a spot with a guide that lines each photo up with the last one, answer a short structured interview, see fixed warning-sign rules (for example "call 911" or "get care today"), and make a one-page Visit Brief that you can print, share through an expiring link, or send to a verified clinic. ReadySeen never interprets your photos, never names a condition and uses no artificial intelligence in the current version. Warning-sign rules are written from published public-health guidance and are shown with their source; they are general prompts, not an assessment of you. The rules have not yet been signed off by a licensed clinician; we will say so on the screen until they are.
03 — Eligibility and accounts
You must be at least 18 and able to form a binding contract. You may keep information about a child or another adult only if you are their parent, guardian or authorised representative. Keep your password private, use a unique one, and turn on two-factor sign-in (required for clinic accounts). You are responsible for activity on your account; tell us at once through the contact form if you think someone else has used it. We may refuse or close accounts that give false information.
04 — Where your information lives
Spots, photos and answers are stored on your own device, in the browser you use. If you clear the browser's data or lose the device, they are gone; we cannot restore them. Your account on our servers holds only your email, name, password hash, two-factor settings, plan, and records of briefs you sent (not their contents). Export what we hold from your account page at any time.
05 — Sharing briefs
When you share a brief, your device encrypts it before it leaves; the key travels only in the link (or, for a clinic, is locked to that clinic's own key). We store ciphertext we cannot read, show you when it was opened, and erase it when it expires or you turn it off. Anyone with a share link can view it until it expires, so give it only to people you trust. A clinic that receives your brief may copy information into its own records; from then on that clinic's own privacy practices and the law (including HIPAA, where it applies) govern its copy, not ReadySeen.
06 — Clinics on ReadySeen
Clinics are independent of us. Before a clinic can receive briefs, we check its National Provider Identifier with the federal NPPES registry, check federal exclusion lists (HHS-OIG, and SAM.gov when enabled), and confirm a state licence on the state board's site, as described in How we verify clinics. "Verified" means those checks passed when we ran them; it is not an endorsement, a rating of care, or a guarantee. We do not employ, supervise or refer you to any clinician. Clinics pay a flat subscription and never pay us per patient, referral, brief or booking.
07 — Subscriptions and billing
ReadySeen Plus is offered at the prices on Pricing, in US dollars. Payments are processed by Stripe on pages it hosts; we never see your full card number. Subscriptions renew automatically at the end of each period at the then-current price until you cancel. You can cancel online at any time from your account's Billing page; cancellation takes effect at the end of the paid period and you keep access until then. We will tell you before any price increase and you may cancel before it applies. Except where the law requires otherwise, payments are non-refundable; if something went wrong, contact us and we will look at it fairly. Taxes may apply.
08 — Your content
"Your Content" means the photos, answers, notes and briefs you create. You own it. You give us a limited licence to store and transmit it only to provide the Service to you and to the people you choose. We do not sell Your Content, use it for advertising, or use it to train models. You confirm you have the right to include anything you add, including images of another person, which you may only add with their permission.
09 — Acceptable use
Do not: (a) use the Service instead of calling 911 in an emergency; (b) add unlawful content or content you have no right to share; (c) use the Service to provide medical services to others or to decide another person's care; (d) probe, overload or bypass security, rate limits or access controls; (e) scrape or use automated means to access the Service, other than ordinary accessibility tools; (f) impersonate anyone, register a practice you are not authorised to represent, or send briefs that are not genuinely about a visit; (g) break any law. We may suspend accounts that break these rules, in proportion to the problem.
10 — Our intellectual property
The Service, its software, rules, text, design and the ReadySeen name and logo belong to us or our licensors. Except for your personal use of the Service, no licence is granted. Photographs on the site are illustrative scenes created for it; they may not be reused. If you send feedback, we may use it without obligation. Third-party software is used under its own licences, listed in the app.
11 — Disclaimers
ReadySeen is a preparation and sharing tool. It is not a medical device and does not provide medical advice, diagnosis, treatment or a clinician–patient relationship. The absence of a warning prompt does not mean you are well. Always ask a qualified clinician about a medical question and never delay getting care because of something in the Service. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. Some states do not allow these exclusions, so some may not apply to you.
12 — Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data; and (b) our total liability for all claims about the Service is limited to the greater of what you paid us in the 12 months before the claim or US $100. Nothing here limits liability for death or personal injury caused by our gross negligence or wilful misconduct, for fraud, or any liability that cannot be limited by law.
13 — Indemnification
To the extent the law allows, you agree to defend and indemnify ReadySeen, LIKE A KING INC. and their officers, employees and agents against claims arising from your breach of these Terms, Your Content, or your violation of any law or anyone's rights.
14 — Ending your use
You may delete your account at any time from your account page; we erase it immediately and cancel any subscription. We may suspend or end access if you breach these Terms, if the law requires it, or if we stop offering the Service, with reasonable notice where we can. If we discontinue the Service we will give at least 30 days' notice. Sections 8 and 10–17 survive.
15 — Governing law
These Terms are governed by New York law and applicable US federal law (including the Federal Arbitration Act), without regard to conflict-of-laws rules. Subject to Section 16, the state and federal courts in New York County, New York have exclusive jurisdiction.
16 — Disputes and arbitration
Informal resolution first: before filing a claim, both sides try to resolve it informally for 60 days after written notice (to us through the contact form). Arbitration: unresolved disputes go to individual binding arbitration by the American Arbitration Association under its Consumer Arbitration Rules; we pay the filing and arbitrator fees those rules require. Class waiver: claims are brought only individually, not in a class or representative action, and there is no jury trial. Exceptions: either side may use small-claims court, or seek an injunction for misuse of intellectual property. Opt-out: you may opt out of this section by notice through the contact form within 30 days of first accepting these Terms.
17 — State notices
California: under Civil Code §1789.3 you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, (800) 952-5210. New Jersey: nothing in Sections 11–13 limits rights under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act. Washington, Nevada and Connecticut: see the Consumer Health Data Privacy Policy. Automatic renewal: we follow the automatic-renewal laws of New York (General Business Law §527-a), California and other states, including clear terms and online cancellation. Counsel to confirm this list.
18 — Changes, review status and contact
We will give at least 30 days' notice of material changes in the app or by email, except where the law requires a change sooner. A later edit does not rewrite the terms that applied to a past purchase. Still open before these Terms take effect: review by licensed counsel; clinician sign-off on the warning-sign rules; and a decision whether ReadySeen will be operated by a separate subsidiary. Questions: use the contact form, or write to LIKE A KING INC., One World Trade Center, Suite 8500, New York, NY 10007, United States.
